"Regulators Approve F.N.B. Corp., NSD Bancorp Merger"
"HERMITAGE, Pa. -- The application to merge the Pittsburgh-based NSD Bancorp into F.N.B. Corp. has been approved by the Office of the Comptroller of the Currency and the Pennsylvania Department of Banking, F.N.B. officials announced yesterday. The Federal Reserve Bank of Cleveland has waived its need for the filing of a regulatory application concerning the pending merger.Also yesterday, F.N.B. announced that employees at the bank and other corporate subsidiaries contributed over $15,800 towards tsunami relief duringĀ their one-week campaign that ended Jan. 14. That amount, matched dollar-for-dollar by F.N.B., totals over $31,600 -- more than double the campaign's $15,000 goal. Donors wore red wrist bands and denim to work on Jan. 14 to celebrate the conclusion of the successful initiative.Contributions will be directed to the American Red Cross, and a check will be presented Friday to the Mercer County chapter at 3 p.m. in the bank's lobby in Hermitage Square.Officials from F.N.B. and NSD announced Oct. 15, 2004, that they had entered into an Agreement and Plan of Merger. Completion of the merger is subject to approval by the NSD Bancorp shareholders at its shareholders' meeting scheduled for 10 a.m. on Feb. 18. Officials of both companies anticipate that the merger will close and be effective at the close of business that day.NSD Bancorp is the parent company of NorthSide Bank, a $532 million bank that operates 11 full-service branches in the communities north of Pittsburgh. The agreement provides for the merger of NSD Bancorp into F.N.B. Corp., followed immediately by the merger of NorthSide Bank into F.N.B. Corp.'s subsidiary, First National Bank of Pennsylvania.F.N.B. Corp. has total assets of $5.1 billion following its recently completed merger with Slippery Rock Financial Corp. F.N.B. owns and operates First National Bank of Pennsylvania, First National Trust Co., First National Investment Services Co., F.N.B.
